These Bill Pay for Business Accounts Terms and Conditions (“Bill Pay for Business Accounts Terms”) govern your use of PayPal’s Bill Pay for Business Accounts service (“Bill Pay for Business Accounts”) available through your eligible PayPal business account. In addition to these Bill Pay for Business Accounts Terms, your use of Bill Pay for Business Accounts is also subject to the terms of the PayPal User Agreement, the Acceptable Use Policy, the Privacy Statement, and the other applicable agreements between you and PayPal.
The “Bill Pay for Business Accounts Service” means the payment processing services and related functionality using PayPal’s global payout platform and network of financial partners to deliver a range of payout solutions to eligible business accountholders who desire to make payments to their designated payees (a “Payee”).
You and PayPal will each be deemed an independent data controller in connection with any personal data processed under the Bill Pay for Business Accounts Terms and Conditions. Each party has their own independently determined privacy policies, notices, and procedures for the personal data they hold and are not joint data controllers. The data protection terms appliable to your use of Bill Pay for Business Accounts are set out in the “Your use (as a seller) of personal data; Data protection laws” section of the PayPal User Agreement and are hereby incorporated by reference into this agreement.
If you subscribe to the two-way accounting syncing functionality offered to you by PayPal, which enables you to synch your Payout data with your third-party accounting software provider, and to the extent PayPal processes any personal data in connection with the two-way accounting syncing functionality, the PayPal Data Protection Addendum for Business Management Products applies to your use of Bill Pay for Business Accounts and is incorporated by reference into these Bill Pay for Business Accounts Terms and Conditions. You are responsible for the accuracy of, completeness of and your reliance on the data that you instruct us to send to your third-party accounting software provider.
In order to purchase a subscription to the Bill Pay for Business Accounts services, you must select a payment method for each purchase. You can select any payment method linked to your PayPal account that we make available to you or use funds held as balance in your PayPal business account. You authorize us to charge the funding instrument(s) selected by you and any backup payment methods, including the balance held in your business account, in connection with your use of Bill Pay for Business Accounts in the event the instrument selected by you is unavailable.
The billing entity for part or all of the services provided by PayPal may be that of a subsidiary, affiliate, or partner organization of PayPal and you hereby consent to any such billing, including changes to the billing entity from time to time.
The Parties agree as follows:
For tax information reporting purposes, you acknowledge and agree that: (1) you are in the best position to determine the nature of the payments made using the Bill Pay for Business Accounts service and whether any such payments are subject to reporting or withholding obligations under applicable law; (2) for payments made using the Bill Pay for Business Accounts Service, PayPal does not act as a payment settlement entity, middleman, nominee, payor, or withholding agent as defined by U.S. tax laws and is not responsible for any reporting and/or withholding; and (3) you are solely responsible for compliance with any tax laws, including reporting and withholding, that may apply through your use of the Bill Pay for Business Accounts Service.
